Klee Collection GmbH – Klee AI Studio

1. Scope of Application

These General Terms and Conditions (GTC) apply to all services provided by Klee Collection GmbH (hereinafter 'Klee AI Studio' or 'Provider') in the field of AI-powered website creation, automation and digital services.

By placing an order, the customer acknowledges these GTC. Deviating conditions of the customer are only recognized if the Provider has expressly agreed to them in writing.

2. Scope of Services

The Provider offers services in the field of AI-powered website creation, text generation, design, hosting and digital automation. The exact scope of services results from the respective offer or order confirmation.

The Provider uses Artificial Intelligence (AI) and automated processes to deliver services. The customer acknowledges that AI-generated content undergoes human quality control, but absolute accuracy cannot be guaranteed.

3. Contract Conclusion and Order Placement

A contract is concluded through the Provider's written order confirmation or through the commencement of service delivery.

The Provider's offers are non-binding unless expressly agreed otherwise. The prices stated in the offer apply to the specified scope of services.

4. Prices and Payment Terms

All prices are in Swiss Francs (CHF) and exclusive of value added tax (VAT), unless otherwise stated.

Payment is made according to the terms stated in the offer or invoice. As a rule, a deposit of 50% is due upon order placement and the remaining balance upon project completion.

In case of late payment, the Provider is entitled to charge default interest of 5% p.a. and to suspend service delivery.

Monthly hosting and maintenance fees are invoiced in advance and are payable within 14 days.

5. Customer's Obligations to Cooperate

The customer shall provide the Provider with all information, materials and access required for service delivery in a timely and complete manner.

The customer is responsible for the accuracy and completeness of the content provided (texts, images, logos, etc.).

Delays attributable to insufficient cooperation by the customer shall not be borne by the Provider and may result in schedule changes and additional costs.

6. Data Processing and Third-Party Providers

To provide the agreed services, the Provider uses third-party providers, in particular providers of Artificial Intelligence (e.g., OpenAI, Anthropic, Google), cloud hosting services, and analytics and image processing services.

The customer expressly agrees that their data (including company information, texts, images and requirements) may be transmitted to these third-party providers and stored and processed on their servers worldwide.

The Provider carefully selects its third-party providers but cannot guarantee their data protection practices. The respective data protection provisions of the third-party providers apply to data processing by these providers.

Further information can be found in our Privacy Policy.

7. Copyright and Usage Rights

Upon full payment, the usage rights to the created websites and content are transferred to the customer, unless otherwise agreed.

The Provider retains the right to use the created work as a reference in its portfolio, unless the customer expressly objects.

Source code, templates and proprietary AI workflows of the Provider remain its intellectual property and are not transferred.

The customer guarantees that the materials provided do not infringe any third-party rights.

8. Warranty and Liability

The Provider delivers its services with due diligence. No guarantee is given for the uninterrupted availability of websites or the accuracy of AI-generated content.

The Provider's liability is limited to the order value. No liability is assumed for indirect damages, lost profits or consequential damages.

The Provider is not liable for damages caused by force majeure, actions of third parties or omissions by the customer.

Defect claims must be made in writing within 14 days of delivery.

9. Hosting and Maintenance

Hosting services are provided as a monthly subscription. The minimum contract period is 12 months, unless otherwise agreed.

The hosting contract may be terminated with 30 days' notice at the end of the contract period. Without termination, the contract is automatically renewed for 12 months.

Upon termination of hosting, the Provider will make the website data available to the customer in a common format.

The Provider is entitled to suspend hosting in case of payment default exceeding 30 days.

10. Termination and Cancellation

Project orders may be cancelled free of charge until the start of implementation. After the start of implementation, services rendered up to that point will be invoiced.

In case of early termination by the customer without good cause, at least 50% of the agreed total price must be paid.

The Provider may terminate the contract without notice for good cause, in particular in case of payment default or violation of material contractual obligations by the customer.

11. Confidentiality

Both parties undertake not to disclose confidential information of the other party to third parties, unless this is necessary for the fulfillment of the contract.

This confidentiality obligation does not apply to information that is publicly known or becomes publicly known without the fault of the receiving party.

The confidentiality obligation continues beyond the end of the contract.

12. Final Provisions

Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods.

The place of jurisdiction is the Provider's registered office in Switzerland.

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid regulation that comes closest to the economic purpose of the invalid provision.

Amendments and additions to these GTC require written form.
